We advise clients regarding all aspects of their corporate operations and capital market activities. The firm has broad experience assisting with the chartering and formation of new banks, including de novo banks. We guide clients through all stages of this process, from formation to establishing an organizational structure. Our work also includes public and private methods to raise capital, such as bank note offerings and other activities relating to the creation of regulatory capital. In addition, Bradley Arant Boult Cummings has one of the most active banking and financial services M&A practices in the country. Drawing on the resources of our Corporate and Securities Group, we represent clients of all sizes in the acquisition and sale of financial institutions.
The firm is a leader in tax credit work, particularly Low Income Housing Tax Credits, New Market Tax Credits and Tax Increment Financing (TIF). We have broad experience in lending work, with particular emphasis on health care and mortgage warehouse lending. Our attorneys also serve as trusted counsel to clients on state and regulatory compliance matters, and on the many related laws and issues that affect banks and other financial services companies.
Our Banking and Financial Services Practice Group also has significant experience assisting clients in the sale and purchase of distressed debt, including situations where a bank has hired loan sales brokers and put loans on the national market. We currently represent a regional bank in connection with a series of quarterly note sales totaling more than a billion dollars in outstanding distressed loans. Our attorneys also represent banks in situations where they are participants and the lead bank is trying to force a sale, and have represented investment companies looking for loans to buy.
The Group is presently working with a number of its bank clients in connection with their participation in the 2008 U.S. Treasury Capital Program, whereby the Treasury is investing billions of dollars of Tier One Capital into banks and bank holding companies. We are representing all types of banking entities in this process, including large and small banking entities and also publicly-traded and privately-held entities. We are helping clients with the application process, the federal and state regulatory approval process, charter amendments (if needed) for the issuance of the applicable securities, proxy statements and notices for shareholder approvals, and all other issues relating to participation in the Treasury Program.
