Associate
Sam Todd is an associate in the firm’s Birmingham office. He maintains a general corporate practice, advising clients on mergers and acquisitions, divestitures, business entity formation and public company securities compliance. Sam devotes a substantial portion of his practice to securities issues, including assisting clients with federal disclosure requirements and proxy solicitation. Additionally, Sam has been involved in a variety of transactions with both public and privately held companies in the construction, manufacturing, publishing, transportation and banking industries. He regularly counsels clients on issues involving business reorganization, raising capital and corporate governance.

Sam Todd is an associate in the firm’s Birmingham office. Outside of the office, Sam is involved with several civic organizations. He is a past President of the Young Supporters Board of the UAB Comprehensive Cancer Center and is a member of the Board of Directors of Temple Emanu-El and Collat Jewish Family Services. Sam is also a member of the Rotaract Club Birmingham, the Class of 2009 of Leadership UAB and the Public Affairs Research Council of Alabama (PARCA) Roundtable.

Sam is a magna cum laude graduate of the University of Alabama School of Law, where he received a joint J.D./M.B.A. While in law school, Sam served as the Developmental Editor of the Alabama Law Review and won first place in the John A. Campbell Moot Court Competition. Sam was also a Hugo L. Black Scholar, a Student Fellow of the Blackburn Institute and was elected to the Order of the Barristers. Prior to law and business school, he attended Princeton University, where he graduated magna cum laude with a degree from the Woodrow Wilson School of Public and International Affairs. While in college, Sam spent a semester studying conservation policy at the University of Cape Town in South Africa.

When he’s not in the office, Sam can be found attempting to play golf or crossing his fingers that Princeton’s football team will beat both Harvard and Yale in the same season.
