The Family-Owned Business Team works with clients as a partner to anticipate opportunities and challenges, analyze the benefits and risks associated with those opportunities and challenges and ultimately provide advice to clients that is consistent with our clients’ goals and plans.
Our team consists of attorneys with expertise and deep experience in corporate and securities law, tax and estate planning, employee benefits and executive compensation, real estate and finance. Each of us has varied experience, but we all work daily with family-owned businesses. We have been trained from the start of our careers to take a holistic view of a client’s needs. We want to understand our client’s business because we know that this understanding allows us to provide better representation for the client both now and in the future.
Each of our family-owned businesses has unique needs. These may include succession planning and estate and tax planning, compensation of owner and non-owner management, capital raising or financing. Our team regularly provides an integrated representation with professionals specializing in these areas.
Our corporate and securities lawyers are well-versed in the general business needs of a company as we represent clients in all aspects of business transactions in virtually every sector of the economy. We work with clients at all stages of development, from newly-formed and growing businesses to large, established companies. The relationships our firm has developed over a century allow us to help clients connect with financing sources and identify transaction opportunities that are appropriate on a client-specific basis.
When growth involves acquisitions, we are involved. Our team includes some of the leading M&A attorneys in the region. We represent clients regularly in all aspects of M&A transactions, including negotiations of mergers, stock and asset purchases, divestitures, spin-offs, tender offers, proxy contests and management buyouts. Our attorneys regularly work on transactions involving companies with operations, subsidiaries, or offices based outside of the United States.
The trusts and estates team provides sound and creative advice to individuals and families in structuring estate plans to meet their needs. We guide our clients through the maze of the estate tax rules to develop estate plans that meet both their tax and non-tax goals. In developing and implementing estate plans for our clients, our attorneys not only discuss wills (or living trusts) with our clients, we also provide counsel on a wide range of other tax and non-tax issues.
Many of our clients are concerned about business succession planning. Having grown a company over one or more generations, and with a desire for future generations to share in ownership and management, our clients want to plan for an orderly transition when they retire from their business. Changes in the ownership and management involve legal planning, but they also involve the need for professionals to help numerous interested parties deal with the emotional issues raised by succession planning. Our attorneys are trusted advisors who help clients navigate these sometimes difficult family dynamics.
We also assist our clients with structuring stock option and other employee incentive plans and preparing employment, consulting, confidentiality, HIPAA and proprietary information agreements. Members of our team regularly provide counsel to clients regarding federal, state and local regulatory compliance, governmental affairs, and taxation at the local, state, federal and international levels.
Our experience in real estate and finance is extensive. Our attorneys are well-versed in acquisitions, financing, lending, leasing, construction, regulatory, tax and other real estate matters. We manage transactions for a variety of clients ranging from those whose primary business is real estate investment or development to those whose corporate existence requires an infrequent, yet significant investment in real estate.
