Our attorneys assist with the preparation of offering memoranda, partnership agreements, operating agreements, leases, management agreements, development agreements and other documents needed in the context of joint venture formation. We handle all legal specialties required for syndicated joint ventures, including federal and state securities laws, health care regulatory laws, corporate and business laws and tax laws. We also assist clients with issues involving governance; fraud and abuse (Federal Anti-Kickback Statute, Stark Law and state anti-kickback and self-referral issues); anti-trust; and reimbursement, such as under arrangement billing and provider-based issues.
We have special experience working on joint ventures involving tax exempt organizations (both as counsel to tax-exempt and for-profit parties), and our health care attorneys are well-versed in the unique issues present in these deals.
