We represent the largest nonprofit hospital system in Middle Tennessee, consisting of three acute care hospitals, a critical access hospital, numerous surgery centers, specialty facilities, home health agencies, physician practices and related service lines. We also represent several nonprofit hospitals and health care authorities in Alabama, including a children’s hospital, an academic medical center, a hospital system in Birmingham, Alabama, a regional hospital system in West Alabama consisting of three acute care hospitals, and a regional hospital system in Northwest Alabama consisting of an acute care hospital and a critical access hospital. Other clients include a children’s research hospital, various for-profit hospital systems, and several nonprofit community hospitals. We also represent one of the largest providers of inpatient rehabilitation care in the United States.

We help these clients acquire, syndicate and develop a variety of ancillary providers, such as cardiac catheterization laboratories, specialty hospitals, and surgery centers. We also advise hospitals with respect to physician recruiting, physician employment, and hospital-based physician contracting; handle complicated on- and off-balance-sheet real estate financings for medical office buildings; monitor tax-exempt bond compliance; negotiate managed care contracts; and provide regulatory counsel, including Stark, fraud and abuse, HIPAA, EMTALA, and labor and employment advice.
We have experience working with small and large hospital systems both with and without significant in-house legal counsel. For our clients without in-house legal counsel, we provide day-to-day legal support for all parts of the organization, and have created extranet sites to track ongoing legal matters. For our clients with in-house legal departments, we have an established track record of working collaboratively with the in-house attorneys to give advice on technical regulatory questions, offer “second opinions” on difficult issues, and provide extra capacity to tackle larger matters.
