Marian Bowers represents national and regional financial institutions in connection with complex financial transactions, encompassing secured and unsecured commercial loan originations, debt restructurings, loan workouts, foreclosures, portfolio loan sales, and distressed debt trading.
Marian has experience with the purchase and sale of distressed bank loans, trade claims and other distressed products by hedge funds, institutional trading desks, special purpose vehicles and other financial institutions. She is experienced with the documentation published by the Loan Syndications and Trading Association (LSTA) for the U.S. market and advises client on the legal issues associated with the negotiating and documenting trade confirmations, purchase and sale agreements, participation agreements, netting and proceeds letters and funding memorandums.
With respect to debt restructuring and loan workouts, Marian’s practice focuses primarily on commercial real estate loans for retail, office, multifamily and mixed-use properties with experience in complex forbearance agreements, modifications, extensions and settlement agreements.
Representative Workout Transactions:
- Represented a lender in publicized complex loan purchase and workout transaction involving various corporate and personal guarantors and foreclosures and deed-in-lieu of foreclosure transactions related to eight properties in three counties in two states
- Assisted in the purchase and simultaneous refinancing of debt secured by multifamily complex and conversion of property from condominiums to apartments.
