Pat practices primarily in the areas of public finance, mergers and acquisitions, real estate and franchising.

Pat practices primarily in the areas of public finance, mergers and acquisitions, real estate and franchising.

Pat has more than 25 years of experience in all aspects of tax-exempt finance and serves as bond counsel to Nashville Electric Service and the Metropolitan Development and Housing Agency.

Pat also serves as primary counsel to a hotel franchising company and has extensive experience in the lodging industry, including the construction, financing, acquisition, disposition, franchising and management of lodging facilities.

Pat also serves as primary counsel to a number of real estate developers and has experience in both commercial and residential real estate developments.

Pat is a member of the National Association of Bond Lawyers and the Nashville, Tennessee and American Bar Associations.

Experience

Pat’s recent public finance transactions include the following:

  • Serving as bond counsel on $10,106,000 tax-exempt financing for a public park and amphitheatre facility on the west bank of the Cumberland River in downtown Nashville.
  • Serving as issuer’s counsel on $28,000,000 tax increment financing for a ballpark facility in the Sulphur Dell area of Nashville.
  • Serving as bond counsel on $53,850,000 tax-exempt financing for a convention center hotel in downtown Nashville.
  • Serving as bank counsel on the partial repayment, amendment and collateral restructuring of a $110,000,000 financing for a proton therapy center.

Pat represented the seller/owner in the disposition of a chain of 29 all suite hotels (now part of the Hyatt system) in a $290,000,000 transaction.

Pat represented the seller/owner in the disposition of 32 hotels in a series of transactions with an aggregate selling price of more than $100,000,000.

Pat has been involved in the negotiation of more than 100 franchise agreements involving hotel properties across the country and an agreement with a licensee in the Peoples Republic of China.
