We regularly work with clients at all stages of development across numerous industries, including the software and information technology (including healthcare IT), life sciences, biotechnology, alternative energy, digital media, and telecommunications industries. We draft and negotiate simple and complex technology agreements, including but not limited to all types of intellectual property and software license and support agreements, development agreements, supply contracts, distribution agreements, material transfer agreements, hosting and other managed services agreements, SAAS and ASP agreements, ecommerce agreements, co-branding agreements, outsourcing and other offshore services agreements, and domain name transfer agreements. Our experience is not limited to the United States; in fact, our attorneys have been involved in licensing technologies all over the world, including Canada, the EU, China, Japan, Australia, Mexico, Turkey, Japan, and various Latin American and Middle Eastern countries.
Many of our clients need standardized forms for vendor agreements, customer agreements, or other recurring transactions. We develop and managed these forms and ensure that each is tailored to meet the client’s specific needs for a transaction. For form customer agreements, our experience and understanding of our clients’ businesses not only enables us to provide effective legal advise, but also to lay a foundation for more efficient negotiation and customer acquisition. This allows the client to recognize significant overall savings, and even, at times, to shorten the sales cycle.
The team’s experience in working with IT and other technology vendors also allows us to help clients, including both technology companies and "brick-and-mortar" companies, acquire and implement technology-based solutions for their businesses in the most advantageous manner. We also have extensive experience representing technology transfer offices of colleges and universities, and their portfolio companies, in technology transfer matters.
