John W. Titus

John Titus has extensive experience in public and private offerings of debt and equity securities, proxy contests and tender offers, corporate mergers and acquisitions, and corporate financing transactions for businesses in a variety of industries, including health care, financial institutions, manufacturing, technology, hospitality services and others. He frequently functions as general counsel to his clients, advising on all aspects of corporate, securities and business law matters. He advises boards of directors and executive management of the firm’s publicly-traded clients on corporate governance matters, including compliance with requirements imposed by Sarbanes-Oxley, TARP and Dodd-Frank legislation, and general fiduciary duties in the context of mergers, acquisitions and recapitalizations.

His corporate finance experience includes handling public and private offerings of equity and debt securities, proxy contests, mergers and reporting obligations of publicly traded companies; representing clients in conducting syndications of real estate investments, investments in healthcare providers, such as surgery centers, imaging centers and cancer care centers, and private investment companies (including SBICs). He has represented clients in negotiating and documenting venture capital and private equity investments and has represented venture capital and private equity clients in making such investments. He has served as Vice Chairman of the firm’s Corporate and Securities Practice Group and currently serves as Chairman of the firm’s Public Companies Team.

He has lectured and instructed on Securities and Exchange Commission reporting requirements and the recently-enacted Dodd-Frank Wall Street Reform and Consumer Protection Act and has authored a number of articles on corporate and securities law matters.
