Our attorneys advise clients with respect to state tax considerations for structuring the ownership and operation of businesses. We counsel on business transactions, incentives, and related exemptions and grants; governmental affairs; tax controversy and litigation with state and local governments; and voluntary compliance negotiations.

We provide tax consultation to businesses in a number of areas:

  • Formation of business entities – We advise clients about the tax considerations and alternatives relating to the organization, capitalization, operation, conversion, and termination of all forms of business entities, including corporations, partnerships, limited liability companies, and trusts.
  • Mergers, acquisitions, dispositions, and reorganizations – Our tax attorneys work closely with our Corporate and Securities Practice Group to design and implement tax-efficient transaction structures that are consistent with a client’s business objectives. We advise on mergers, acquisitions, and reorganizations for small, privately held businesses as well as national and international publicly held companies. We also provide legal counsel on tax issues in connection with bankruptcy and insolvency.
  • Partnerships and real estate taxation – Our tax attorneys assist clients in structuring the acquisition, ownership, and disposition of real property to achieve a tax-efficient structure that meets the client’s business objectives.
  • Partnerships and LLC real estate agreements – We draft agreements for partnerships and LLCs as vehicles for owning, managing, and disposing of real estate. We have extensive experience in designing the allocation of profits, losses, and distributions for partnerships and LLCs that own real estate and other businesses. We also advise foreign investors on investments in real property in the U.S.

Executive compensation and incentive compensation plans – Bradley’s attorneys provide comprehensive counsel regarding compensation, benefits, and severance for executives and other senior-level employees through all phases of employment.
